These Terms of Service ("Terms", "ToS") govern your use of our website located at Koficooks.com ("Website") and the services provided by KofiCooks LLC, a company registered under the relevant authorities in its respective jurisdiction (hereinafter referred to as "us", "we", or "our").

By accessing or using our Website and services, you agree to be bound by these Terms. If you disagree with any part of the terms, then you do not have permission to access the Website.

1. Services Offered

We provide the following services:

  • Licensing of beats and musical products ("One-Shot Licenses"), governed by the license tier terms published at koficooks.com/licensing and vault.koficooks.com/licensing.
  • The Vault, a paid membership program at vault.koficooks.com providing monthly beat download allowances and access to member-exclusive beats ("Vault Membership").

2. Use License

This section applies to the Website's content, design, and materials generally. It does not limit or replace the rights granted under a purchased or membership-issued beat license. Rights to use musical works are governed exclusively by the applicable license agreement (see /licensing), not by this section.

Permission is granted to temporarily download one copy of the materials (information or software) on our Website for personal, non-commercial transitory viewing only. This is the grant of a license, not a transfer of title, and under this license, you may not:

  • Modify or copy the materials.
  • Use the materials for any commercial purpose or for any public display (commercial or non-commercial).
  • Attempt to decompile or reverse engineer any software contained on our Website.
  • Transfer the materials to another person or "mirror" the materials on any other server.
  • This license shall automatically terminate if you violate any of these restrictions and may be terminated by us at any time.

3. Disclaimer

The materials on our Website are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, we do not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its Website or otherwise relating to such materials or on any sites linked to this site.

4. Limitations

In no event shall we or our suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on our Website, even if we or a our authorized representative has been notified orally or in writing of the possibility of such damage.

5. Accuracy of Materials

The materials appearing on our Website could include technical, typographical, or photographic errors. We do not warrant that any of the materials on its Website are accurate, complete, or current. We may make changes to the materials contained on its Website at any time without notice. However, we do not make any commitment to update the materials.

6. Links

We have not reviewed all of the sites linked to our Website and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by us of the site. Use of any such linked website is at the user's own risk.

7. Modifications

We may revise these Terms at any time. For material changes affecting active Vault Members — including changes to pricing, download allowances, or membership benefits — we will provide notice at least 30 days in advance by email to the address on your account. Continued use of the membership after the effective date constitutes acceptance.

8. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to conflict-of-law principles. You irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Florida.

9. Vault Membership — Plans and Billing

Vault Membership is offered in tiers as described at vault.koficooks.com, billed monthly or annually in advance via our payment processor, Stripe. By subscribing you authorize recurring charges to your payment method until you cancel. Prices are stated at checkout; applicable taxes may be added based on your location.

10. Download Allowances

Each membership tier includes a monthly allowance of beat downloads, added to your account on each successful billing cycle. Unused downloads roll over to subsequent billing cycles and do not expire for as long as your membership remains active. Upon cancellation or expiration of your membership, all unused downloads — including rolled-over downloads — are forfeited (see Effect of Cancellation below). Allowances are personal to your account and may not be transferred, sold, or shared. Re-downloading a beat you have already downloaded does not consume additional allowance.

11. Licenses Issued Through Membership

Each beat downloaded under a Vault Membership is licensed to you under the license tier corresponding to your membership plan (Basic Membership → Basic License terms; Premium Membership → Premium License terms), as published at /licensing. The license attaches to the specific beat at the time of download and is documented in your account's license records.

12. Effect of Cancellation

You may cancel your Vault Membership at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access and any remaining download allowance until then. Upon expiration, any unused download allowance — including rolled-over downloads — is forfeited.

Licenses for beats you downloaded during your membership remain valid after cancellation under their original terms. Cancellation ends your ability to make new downloads; it does not revoke licenses already issued.

13. Vault-Exclusive Beats

Certain beats are designated Vault Exclusives and are available solely to active Vault Members. Vault Exclusives are not sold individually and are not available outside the membership. Exclusive status does not alter the license terms that apply to a downloaded beat.

14. Right of Withdrawal (EU/EEA Consumers)

If you are a consumer in the EU/EEA or UK, you normally have a 14-day right of withdrawal from distance contracts. By starting your membership or downloading digital content, you expressly request immediate performance and acknowledge that you thereby lose your right of withdrawal with respect to content already delivered, in accordance with applicable consumer law.

15. Accounts

You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. One account per person; accounts may not be shared. We may suspend or terminate accounts that violate these Terms, abuse download allowances, or engage in fraudulent activity, including chargebacks filed in bad faith.

16. Ownership

All beats, compositions, and recordings remain the sole property of KofiCooks LLC. A license — whether purchased individually or issued through membership — grants usage rights only and is not a sale or transfer of ownership, copyright, or master rights.

17. Refunds

Refunds for one-shot purchases and membership charges are handled per our Refund Policy at /refund-policy.
